Data Privacy Clause & Consent
Rhythm Deck Music ("we", "us", "our") is committed to protecting your personal information in accordance with applicable data protection laws, including the US, Canada, Europian and Mexican Federal Laws on Protection of Personal Data Held by Private Parties (LFPDPPP), GDPR (where applicable), and other relevant regulations.
What Data We Collect
- Full name, email, phone number, company name, physical address, tax/registration ID, website, and music association details (from your application)
- Typed electronic signatures and date
Purpose of Processing
We collect and process your data solely for:
- Reviewing and processing your application to become a verified producer/distributor
- Verifying your identity and company legitimacy
- Contacting you regarding your application status and potential approval
- Complying with legal obligations
Data Sharing & Security
- We do not sell, rent, or trade your personal information.
- Data may be shared only with trusted service providers (e.g., email service) under strict confidentiality agreements.
- We use reasonable technical and organizational measures to protect your data from unauthorized access, loss, or misuse.
Retention & Your Rights
We retain your application data only as long as necessary for the purposes above or as required by law (typically up to 5 years after final decision). You have the right to:
- Access, correct, or request deletion of your data
- Object to processing
- Withdraw consent (where applicable)

Finder's Fee Agreement
Parties: This Finder's Fee Agreement ("Agreement") is entered into by and between Rhythm Deck Music, located in Nashville Tennesse, US ("Company"), and the undersigned applicant ("Finder").
Recitals:
Finder may, from time to time, introduce artists, songwriters, producers, or other music industry opportunities to Company that result in executed recording agreements, distribution agreements, publishing agreements, licensing agreements, or other commercial transactions ("Qualified Transactions").
Compensation:
In consideration for such introductions leading to Qualified Transactions, Company agrees to pay Finder a finder's fee calculated as follows:
- 6% of the first $100,000 USD (or equivalent) in advances, guarantees, or upfront payments received by Company from the Qualified Transaction.
- 4% of the portion between $100,001 and $500,000 USD.
- 2% of the portion between $500,001 and $1,000,000 USD.
- 0.5% of any amounts exceeding $1,000,000 USD.
Fees are payable within thirty (30) days after Company receives the corresponding funds from the Qualified Transaction.
Term: This Agreement shall remain in effect for a period of twenty-four (24) months from the date of execution.
Governing Law: This Agreement shall be governed by the laws of the State of Guanajuato, Mexico, without regard to conflict of law principles.
Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
By signing below, Finder accepts and agrees to be bound by all terms of this Finder's Fee Agreement.
**Electronic Signature** — By typing your full legal name below and submitting this application, you acknowledge that this constitutes your legally binding electronic signature under the ESIGN Act (15 U.S.C. § 7001 et seq.), UETA, and applicable law.
3. Non-Disclosure Agreement (NDA)

Non-Disclosure Agreement
Parties: This Mutual Non-Disclosure Agreement ("NDA") is entered into between the undersigned applicant ("Recipient") and Rhythm Deck Music, located in Nashville Tennesse, US ("Disclosing Party").
Purpose: Recipient is applying for verified producer/distributor status and will be granted access to confidential artist data, including names, contact information, recordings, profiles, and related business information ("Confidential Information").
Obligations of Recipient:
- Not to disclose Confidential Information to any third party without prior written consent of Disclosing Party.
- To use Confidential Information solely for the purpose of evaluating potential business collaborations with Rhythm Deck artists.
- To protect Confidential Information using at least the same degree of care as Recipient uses for its own confidential information, but in no event less than reasonable care.
- To limit access to Confidential Information to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein.
Term: The obligations of confidentiality shall survive for a period of five (5) years following termination of Recipient's access to the Rhythm Deck platform or until the Confidential Information becomes publicly known through no wrongful act of Recipient.
Return or Destruction: Upon request or termination of access, Recipient shall return or destroy all copies of Confidential Information and certify such destruction in writing.
Remedies for Breach: Recipient acknowledges that any unauthorized disclosure or use may cause irreparable harm to Disclosing Party for which monetary damages alone would be inadequate. Accordingly, Disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
Governing Law: This NDA shall be governed by the laws of the State of Guanajuato, Mexico, without regard to conflict of law principles.
Entire Agreement: This NDA constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements.
By signing below, Recipient agrees to be bound by all terms of this Non-Disclosure Agreement.
**Binding Electronic Signature** — By typing your full legal name and submitting this application, you agree that this constitutes your legally binding electronic signature under the ESIGN Act, UETA, Mexican Código de Comercio, and equivalent laws worldwide.
